JDL Chemical is a chemical company headquartered in the State of Florida, United States, conducting business nationwide across all fifty states. Our Site provides information about our products, services, safety data, and related resources.

You agree to use the Site only for its intended purposes, including obtaining information about JDL Chemical's products and services, accessing safety data sheets (SDS), and communicating with the Company through designated channels.

You agree not to:

• Use the Site to transmit any advertising or promotional material, including spam or similar solicitation.
• Impersonate or attempt to impersonate JDL Chemical, a Company employee, another user, or any other person or entity.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or that may harm the Company or users of the Site.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
• Reverse engineer, decompile, or disassemble any software or technology used on or in connection with the Site.

Certain areas or features of the Site may require you to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify JDL Chemical immediately of any unauthorized use of your account.

Information about our chemical products displayed on the Site is provided for general informational purposes only. While we strive to provide accurate and up-to-date product descriptions, specifications, and safety information, we do not warrant that product descriptions or other content on the Site is accurate, complete, reliable, current, or error-free.

Safety Data Sheets available on the Site are provided in accordance with applicable Occupational Safety and Health Administration (OSHA) regulations and the Globally Harmonized System of Classification and Labelling of Chemicals (GHS). Users are responsible for reviewing and complying with all safety information associated with any product. SDS documents should be considered supplemental to, and not a replacement for, professional safety assessments.

All products sold by JDL Chemical are intended for use in compliance with applicable federal, state, and local laws and regulations, including but not limited to the Toxic Substances Control Act (TSCA), the Federal Insecticide, Fungicide, and Rodenticide Act (FIFRA), Environmental Protection Agency (EPA) regulations, and Department of Transportation (DOT) shipping requirements. It is the User's sole responsibility to ensure that any products purchased or used comply with all applicable regulations in their jurisdiction.

Nothing on the Site constitutes an offer to sell products. Any orders placed through the Site are subject to acceptance by JDL Chemical. We reserve the right to refuse or cancel any order for any reason, including product availability, errors in product or pricing information, or suspected fraudulent activity.

The Site and its entire contents, features, and functionality, including but not limited to all text, graphics, logos, icons, images, audio clips, data compilations, software, and the design, selection, and arrangement thereof, are the property of JDL Chemical, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The JDL Chemical name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of JDL Chemical or its affiliates. You must not use such marks without the prior written permission of JDL Chemical. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

Subject to your compliance with these Terms, JDL Chemical grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business use. This license does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site, except as generally and ordinarily permitted through the Site's functionality.

JDL CHEMICAL DOES NOT WARRANT THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

JDL CHEMICAL DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MATERIALS ON THE SITE IN TERMS OF THEIR CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY, OR OTHERWISE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JDL CHEMICAL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; (C) ANY CONTENT OBTAINED FROM THE SITE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL JDL CHEMICAL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SITE EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO JDL CHEMICAL FOR ACCESSING THE SITE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless JDL Chemical, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Florida, and you hereby consent to the personal jurisdiction and venue of such courts.

Before filing any formal legal action, you agree to first contact JDL Chemical and attempt to resolve any dispute informally by sending a written notice describing the nature of the claim and the relief sought to our address listed below. The parties shall use good faith efforts to resolve the dispute within thirty (30) days of receipt of the notice.

If the dispute cannot be resolved informally, you agree that any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Florida. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof.

YOU AND JDL CHEMICAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and JDL Chemical agree otherwise, the arbitrator may not consolidate or join more than one person's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

You are responsible for complying with all applicable laws, rules, and regulations in connection with your use of the Site. Without limiting the foregoing, you agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control (OFAC), and the International Traffic in Arms Regulations maintained by the Department of State.

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

No waiver by JDL Chemical of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of JDL Chemical to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

These Terms, together with the Privacy Policy and any other legal notices or agreements published by JDL Chemical on the Site, constitute the entire agreement between you and JDL Chemical concerning your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

JDL Chemical shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond its reasonable control, including but not limited to acts of God, fire, flood, hurricane, earthquake, pandemic, governmental action, war, terrorism, labor disputes, power failures, internet disturbances, or disruptions to supply chains.
